Work through the questions in order of increasing difficulty: roles and decision rights (who calls what — and the tiebreaker when we disagree on something big), commitment (hours, other projects, the runway each of us can survive), equity logic (contribution past AND future, vesting with a cliff as the default — the reasoning, not just the split), the what-ifs pre-agreed (one of us wants out year 1 / gets an offer / can't work — vesting handles some; name the rest), and money (salary expectations, when we pay ourselves, personal runway honestly). Output: the one-page memo of what we agreed, and the flag list — anything we couldn't agree on goes to a lawyer-drafted shareholders agreement BEFORE it matters. Do this while it's cheap.
